Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)

On December 1, 2020, Gregg W. Steinhafel notified the Board of Directors (the “Board”) of The Toro Company (the “Company”) of his intention to retire as a Board member at the expiration of his current term at the Company’s 2021 Annual Meeting of Shareholders (the “Annual Meeting”) currently scheduled to be held on March 16, 2021. Accordingly, Mr. Steinhafel will not stand for re-election to the Board at the Annual Meeting and, as a result, effective immediately before the Annual Meeting the size of the Board will be reduced from eleven to ten members. Mr. Steinhafel has served on the Board since 1999.
