(d) | On August 28, 2012, the Board of Directors (the Board) of The Toro Company (Toro), upon recommendation of the Nominating & Governance Committee of the Board, increased the size of the Board from nine directors to ten directors and elected Mr. James Joc ORourke to fill the vacancy created by such increase. Mr. ORourke joins the class of directors having a term ending at Toros Annual Meeting of Shareholders to be held in March 2013. As of the date hereof, Mr. ORourke has not been appointed to any Board committees. It is expected that committee appointments for Mr. ORourke will be determined at the next regularly scheduled Board meeting to be held in September 2012. There are no arrangements or understandings between Mr. ORourke and any other person pursuant to which he was selected as a director, and there have been no transactions since the beginning of Toros last fiscal year, or are currently proposed, regarding Mr. ORourke that are required to be disclosed by Item 404(a) of Regulation S-K. In connection with the election of Mr. ORourke to the Board, Toro entered into an Indemnification Agreement with Mr. ORourke in the same form that Toro has entered into with its other directors, pursuant to which Toro has agreed to provide indemnification and advancement of expenses to the fullest extent permitted by Delaware law and Toros Restated Certificate of Incorporation and continued directors and officers liability insurance coverage, a copy of which is attached to Toros Annual Report on Form 10-K for the fiscal year ended October 31, 2006, as Exhibit 10(u). |
Mr. ORourke, 51, is the Executive Vice PresidentOperations and Chief Operating Officer of The Mosaic Company (Mosaic), Plymouth, Minnesota (a global producer and marketer of combined concentrated phosphate and potash crop nutrients for the global agriculture industry), a position he has held since August 2012. In this role, Mr. ORourke has responsibility for Mosaics mining and manufacturing operations, as well as environmental, health and safety, supply chain and procurement. Previously, Mr. ORourke was the Executive Vice PresidentOperations from January 2009, when he joined Mosaic, to August 2012. From 2006 to 2008, Mr. ORourke was the President, Australia Pacific of Barrick Gold Corporation, Toronto, Ontario, Canada (a global producer and seller of gold and copper also engaged in related activities including exploration and mine development), where he was responsible for the Australia Pacific Business Unit consisting of gold and copper mines in Australia and Papua New Guinea and oversight of approximately 6,500 employees. Throughout his career, Mr. ORourke has held various senior management, engineering and other positions in the mining industry in Canada, Papua New Guinea and Australia.
Mr. ORourke will receive compensation and participate in plans as a non-employee member of the Board as described on pages 24 to 27 in the Proxy Statement for Toros Annual Meeting of Shareholders held on March 20, 2012, under the heading Director Compensation.

The Toro Company Names James Joc ORourke to its Board of Directors
BLOOMINGTON, Minn. (August 28, 2012) The Toro Company (NYSE: TTC) today announced that it has elected James Joc ORourke to its Board of Directors, effective immediately. The addition of Mr. ORourke brings the Toro board to 10 members.
ORourke, 51, currently serves as executive vice president of operations and chief operating officer at The Mosaic Company (NYSE: MOS), an $11 billion global producer and marketer of phosphate and potash crop nutrient for the agricultural industry based in Plymouth, Minnesota. ORourke joined Mosaic in 2009 as executive vice president of operations with responsibility for the companys mining and manufacturing operations, environmental, health and safety, supply chain, and procurement. ORourke was promoted to chief operating officer in August of this year. Throughout his career, ORourke has held various other senior management positions in the mining industry in Canada, Australia and Papua New Guinea, including with gold producers Barrick Gold Corporation and Placer Dome Inc.
Joc brings significant international experience in managing operations around the world, including his current role leading all of Mosaics global operations, said Michael J. Hoffman, Toros chairman and chief executive officer. As we continue to pursue growth in irrigation and equipment markets worldwide, Jocs leadership, experience and innovative thinking will be valuable. We are very excited to have him join our board.
ORourke holds a bachelors degree in mining and mineral engineering from the University of British Columbia, along with a masters degree in business administration from INSEAD in Fontainebleau, France.
